What these terms cover

Naisu Limited publishes under several names. Whatever site you found a product on, if you pay for it through shop.naisu.pro, you are buying from Naisu Limited and these terms apply. That includes:

These terms do not cover anything you buy elsewhere. A Naisu product bought on Etsy, on Amazon or from another retailer, and every printed copy, is sold under that store's terms, and its returns and refunds are handled there.

Who sells, and who takes the payment

Checkout is run by Stripe, which acts as the merchant of record through its entity Sold through Link, LLC. Stripe takes the payment, charges and remits any VAT or sales tax due where you are, and issues your receipt or invoice. Your invoice therefore names Stripe’s entity, not Naisu Limited. Naisu Limited is not registered for VAT and has no VAT number to quote.

Naisu Limited publishes the product and licenses it to you. The terms on this page about the product (what it contains, delivery, editions, licence and liability) are ours. The terms about the payment are Stripe’s. Where the two differ on a point of payment, Stripe’s govern; on a point about the product, ours do.

Who can buy

Most of what we sell is made for professional use, and some products (1752’s data plans) are sold to organisations. If you buy as a consumer rather than in the course of a business, your consumer rights apply in full whatever is written here. We cannot contract them away and do not try to.

Stripe cannot accept customers in a small number of countries (currently China, Cuba, Iran, Kosovo, North Korea, Russia, Syria, Ascension Island and Tristan da Cunha). If you are in one of them, checkout will not complete. That limit is about where the buyer is, not about which places our products describe.

Prices

Every product states its price before you buy. Prices include any VAT or sales tax that applies to the country you buy from, as calculated by Stripe at checkout. A price shown in another currency is fixed for that currency; it is not a conversion made on the day.

Delivery and editions

Everything sold here is digital. When payment clears, your purchase appears in your library at shop.naisu.pro/library, and a link is sent to the email address you gave at checkout. API keys and app seats are issued in the same library. Nothing physical ships.

Editions are fixed: the edition you bought stays available to you when a newer one appears. Where a product includes later editions, the product page says how many and for how long. A LocIntel report bought once, for example, includes the next four quarterly editions from the date of purchase.

Subscriptions

A subscription renews at the end of each period until you cancel it. You can cancel at any time, and it then ends at the close of the period you have paid for; what you received during that period stays yours. We do not refund part of a period you cancel, unless we end the subscription ourselves for a reason other than your breach of these terms, in which case we refund the unused part.

Your right to cancel

If you are a consumer in the UK or the EU you have fourteen days from purchase to cancel a distance contract. For digital content that right ends once supply begins, which is when you download or open the file, or first use a key or seat. Before you pay, you are asked for your express consent to immediate supply and your acknowledgement that the right to cancel then ends. Until supply begins you may cancel by writing to support@naisu.pro, and the payment is refunded in full.

Commissions are different: the document is written for you, and the work is agreed in writing before the first payment. What happens if a commission stops part-way is set out in that agreement.

Faults and refunds

If a product is faulty (the file will not open, is incomplete, or is not the product and edition described, or a key or seat does not work), tell support@naisu.pro. Under the Consumer Rights Act 2015 and, for EU buyers, Directive (EU) 2019/770, you are entitled first to a repaired or replacement product and, where that cannot be done within a reasonable time, to a refund. The refunds page says how refunds are handled. A refunded purchase leaves your library.

Licence

A purchase grants a licence to use the product; it does not transfer copyright.

No licence permits republishing, reselling or publicly posting a product, or a substantial part of it, without our written agreement.

What our products are, and are not

Our reports, data and books are published research. Each states its sources, its method and its date, and we correct errors in a new edition when we find them. They are not legal, tax, immigration, financial or medical advice, and they do not replace advice from a qualified professional about your own circumstances.

Liability

Our total liability to you arising from a product, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the fees paid for that product in the twelve months before the claim arose, whether those fees were paid to us or to Stripe as merchant of record. We are not liable for indirect or consequential loss, or for loss of profit, revenue, business or anticipated savings.

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for breach of the terms implied by the Consumer Rights Act 2015, or for anything else that cannot lawfully be limited or excluded.

Changes to these terms

When we change these terms, the date at the top changes and the new terms apply to purchases made after that date. A purchase you have already made, and a subscription period you have already paid for, keep the terms in force when you paid.

Law

These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. Nothing in them limits the rights you have as a consumer under the law of the country you live in.
